AI contract review software reads an agreement and points out the clauses that need attention. NonDisclosures does this for NDAs. Upload the counterparty draft and get a short summary, a risk score from 0 to 100, flagged clauses ranked by severity and a suggested fallback for each one.

In short
AI contract review in NonDisclosures runs on paid plans only, within a monthly allowance of 10, 60 or 300 analyses. It checks a fixed list of NDA risks, explains each finding in plain English, extracts the key terms into your register and leaves the final decision to you or your lawyer.
What the AI review returns
Each review produces one report attached to the NDA. At the top is a summary of the agreement in a few sentences and a risk score between 0 and 100, where a higher number means more clauses worth negotiating. Below it, every flag shows the clause it refers to (quoted briefly, or described when the clause is missing), a severity, the issue in a short line, why it matters for your side, and fallback wording you can propose in your redline. Flags are sorted with the most serious first, and a separate list names standard protections the draft does not contain.
| Severity | What it means | Typical response |
|---|---|---|
| High | Could cost real money or rights | Push back before signing |
| Medium | Worth negotiating | Propose the fallback if the deal allows |
| Low | Minor or cosmetic | Accept or fix in passing |
The NDA risks the review checks every time
General contract tools try to understand any document. This review works from a defined checklist of issues that come up again and again in counterparty NDAs, which keeps results consistent from one agreement to the next.
- One-sided obligations. A draft called mutual that binds only your side, or a one-way NDA that should run both ways.
- Confidentiality with no end date. A perpetual obligation for all information, not only for trade secrets.
- Missing standard exclusions. No carve-out for information that is public, already known, independently developed or received from a third party.
- No compelled disclosure carve-out. No permission to disclose when a court or regulator requires it.
- Non-compete or IP assignment inside the NDA. Restrictions or ownership transfers that do not belong in a confidentiality agreement.
- Unusual governing law or venue. A state or forum that is far from either party for no clear reason.
- Broad residuals clause. Language that lets the recipient use whatever its people remember.
- No return or destruction. No duty to return or destroy information when talks end.
- Liquidated damages and one-sided injunctive relief. Fixed penalties, or equitable remedies available to one party only.

Term extraction for NDAs you already have
The same AI reads uploaded agreements to fill your register. When you add a legacy NDA to the NDA repository, it extracts the parties and their roles, the NDA type, effective date, term in years, expiry date, governing law, confidentiality period after the term and whether a non-solicit applies. From then on the agreement is searchable and receives expiry reminders like any NDA sent through NonDisclosures. Each extraction counts as one AI analysis.
AI drafting stays inside your clause library
On Business and Company, AI also helps on the drafting side. You describe the deal in plain English, for example a two-year mutual NDA with a distributor in Texas with no non-solicit, and the AI fills the template options for you. It does not write new legal language. The wording still comes from the approved clause library or your locked company template, so what you send matches what legal approved. The same generator powers the NDA template pages, where you can read every clause.
AI review limits by plan
AI runs only for paying accounts. The one-time preview on the home page generates an NDA from the template without AI. Every review, extraction or drafting request counts as one analysis in the billing period, and deleting an NDA or a report does not give the analysis back.
| Plan | AI analyses per month | AI drafting | Price billed yearly |
|---|---|---|---|
| Starter | 10 | No | 24 USD per month |
| Business | 60 | Yes | 74 USD per month |
| Company | 300 | Yes | 249 USD per month |
Monthly billing is 49, 149 and 499 USD. Each review reads up to about 25 pages of agreement text, which covers nearly every NDA.
Accuracy, limits and what AI review is not
AI contract review is good at spotting patterns, such as a missing exclusion or an oddly broad residuals clause, quickly and the same way each time. It can also miss context, misread an unusual structure, or flag a clause that is acceptable for your particular deal. Scanned images without a text layer, heavily formatted tables and handwritten changes are harder to read reliably. Treat the report as a first pass that tells you where to look, not as a verdict.
NonDisclosures is a software tool, not a law firm, and the AI analysis is not legal advice. The fallback wording is a starting point for negotiation. Laws on confidentiality, non-solicits and employee covenants differ by state, so have a licensed attorney review any agreement where the stakes are real.
How your documents are handled
Uploaded files travel over TLS and are kept in private storage that is never publicly reachable, with an access check on every download. For a review, only the extracted agreement text is sent to our AI model provider over an encrypted connection, and the result is stored with the NDA in your workspace. Access follows your workspace roles, and you can export your data at any time. Company plans add data retention settings, audit log export and SSO (SAML). Details are on the security page.
Questions and answers
What is AI contract review software?
It is software that uses a language model to read a contract, summarize it and flag clauses that carry risk or depart from common practice. NonDisclosures applies it to NDAs with a fixed checklist of NDA-specific issues.
How accurate is AI contract review?
It is reliable at finding common patterns but can miss context or misread unusual drafting. Use the report to decide where to focus, and confirm important points yourself or with a lawyer.
Can I run AI review without a paid plan?
No. AI review, extraction and drafting are available only on Starter, Business and Company. The home page preview generates an NDA from the template without AI.
Which file types can I upload?
PDF and DOCX files up to 10 MB. Documents with a real text layer give the best results.
Does AI review work on contracts other than NDAs?
The checklist, extraction fields and fallbacks are designed for non-disclosure agreements. Other contract types are outside what the review is built to assess.
Is the AI review legal advice?
No. NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice, so consult a licensed attorney about your situation.
