Terms of Service

Applies to the nondisclosures.com service. Questions: support@nondisclosures.com

Last updated: October 15, 2026

These Terms of Service ("Terms") govern your use of NonDisclosures, the service available at nondisclosures.com (the "Service"), operated by the administrator of the nondisclosures.com service ("we", "us"). By creating an account, buying a subscription or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you confirm that you may bind it, and "you" means that organization.

1. What the Service is

NonDisclosures is software for creating, sending, signing, storing and tracking non-disclosure agreements. It includes a template generator, AI drafting and AI review features on paid plans, electronic signature, a register of agreements with expiry reminders, team features and integrations with third-party tools.

2. Not a law firm and not legal advice

NonDisclosures is a software tool, not a law firm. We are not lawyers acting for you, we do not give legal advice and using the Service does not create an attorney-client relationship between you and us or anyone working for us.

  • Templates, generated documents, clause explanations, blog articles and AI analysis are general information. They are not tailored advice for your situation.
  • Laws differ from state to state and country to country, and they change. A clause that is enforceable in one state can be limited or void in another, particularly in agreements with employees and contractors.
  • AI features can produce output that is incomplete or wrong. Risk scores and flagged clauses are aids for your own review, not a legal opinion.
  • You are responsible for deciding whether an agreement fits your needs. For anything important, have a licensed attorney in the relevant jurisdiction review it before you rely on it.

3. Accounts

You need an account to use the application. You must give a valid email address, keep your sign-in details confidential and be at least 18 years old. You are responsible for activity in your account and your workspace, including the actions of team members you invite. Tell us at support@nondisclosures.com if you suspect unauthorized access.

Workspace admins control membership, roles (admin, editor, viewer), templates, approvals, integrations and retention settings. On plans with single sign-on, access is also governed by your identity provider.

4. Preview without an account

The home page lets anyone generate one preview of an NDA without an account. The preview is limited, may be partly hidden and carries a watermark. An account without a paid plan may generate one more preview and download one watermarked PDF. Sending for signature, clean downloads, editing clauses and AI features require a paid plan.

5. Plans, usage limits and fair use

The Service is sold as subscriptions. Current plans, prices and limits are shown on the Pricing page and in the application. Limits count consumption in the billing period, for example NDAs sent for signature and AI analyses run. Deleting an NDA or an analysis does not restore quota. Unused quota does not carry over to the next period.

You may not get around limits, for example by creating several workspaces to multiply a plan's allowance, sharing one account among people who are not team members, or automating requests outside the documented API.

6. Subscriptions, payment and renewal

  • Prices are in US dollars and exclude taxes unless stated otherwise. Applicable sales tax or VAT is added at checkout.
  • Subscriptions are billed in advance, monthly or yearly, through our payment operator. Yearly billing is offered at a discount shown at checkout.
  • Subscriptions renew automatically at the end of each billing period for the same length, at the price then in effect, until you cancel. You can cancel renewal at any time in the billing section of the application. Cancellation takes effect at the end of the current paid period, and you keep access until then.
  • When you upgrade to a higher plan or from monthly to yearly billing, the price difference for the rest of the current period is charged immediately and the new plan starts once that payment succeeds. When you downgrade, the change applies from the next billing period.
  • If a payment fails, we may retry it and limit paid features until it succeeds.
  • We may change prices for future billing periods. We will tell you by email at least 30 days before a price change applies to your subscription, and you can cancel before it takes effect.
  • Payments are final, as described in our Refund Policy.

7. Electronic signatures

The Service lets parties sign agreements electronically. In the United States, the Electronic Signatures in Global and National Commerce Act (ESIGN) and state laws based on the Uniform Electronic Transactions Act (UETA) generally give electronic signatures and records the same legal effect as handwritten signatures and paper records. Other countries have similar rules.

  • By signing through the Service, a signer agrees to do business electronically and to use an electronic signature for that agreement. A signer who does not want to sign electronically can decline and ask the sender for another method.
  • For each signature we record an audit trail with timestamps, IP address, browser information and a hash of the document, and we add a certificate page to the signed PDF.
  • Some documents and transactions are excluded from electronic signature laws or need extra formalities. The sender is responsible for using electronic signatures only where they are appropriate.
  • We do not verify the identity of signers beyond the delivery of the signing link to the email address the sender entered, unless a feature states otherwise.

8. Your content and responsibilities

You keep all rights to the content you put into the Service, including NDAs, uploaded documents, templates and data from connected tools ("Customer Content"). You give us a limited license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service for you.

You are responsible for Customer Content and for how you use the documents you create. In particular, you confirm that:

  • you have the right to send each agreement and the personal data in it to the people you send it to;
  • you have a lawful basis to process the personal data of signers and other individuals named in your agreements, and you give them any notices the law requires;
  • the agreements you send are lawful in the places where they apply, including limits on restrictive covenants in employment relationships and the rights of employees to report possible violations of law.

We process personal data in Customer Content on your behalf as described in our Privacy Policy. Paying customers may request a data processing agreement at support@nondisclosures.com.

9. Acceptable use

You may not use the Service to:

  • send unsolicited bulk messages, or send agreements to people who have no relationship with you;
  • impersonate anyone, forge signatures or misrepresent who sent an agreement;
  • create agreements whose purpose is unlawful, including hiding wrongdoing, silencing reports of crimes or harassment where the law protects those reports, or restricting rights that cannot lawfully be waived;
  • upload malware, probe or attack the Service, or try to access data of other customers;
  • scrape the Service, resell it, or use it to build a competing product;
  • process data you are not allowed to process, including special category data without a lawful basis.

We may suspend accounts that break these rules or put the Service or other customers at risk. Where possible we will tell you first and give you a chance to fix the problem.

10. Integrations and API

Integrations connect the Service with tools provided by others, such as CRM, applicant tracking and messaging systems. Your use of those tools is governed by their own terms. You authorize us to exchange the data needed for the integration you configure. The API and webhooks are available on the plans that include them and are subject to reasonable rate limits and the documentation in the application.

11. Availability and changes to the Service

We work to keep the Service available and secure, but it is provided on an "as is" and "as available" basis. We may improve, change or remove features. We do not remove a core feature of a paid plan in the middle of a billing period you have already paid for.

12. Exporting and deleting data

You can export your agreements, signed PDFs and register data at any time while your account is active. After an account or workspace is closed, we delete Customer Content within 30 days, except where the law requires us to keep it and except for backup copies that roll off on their normal schedule.

13. Intellectual property

The Service, including its software, design, templates and clause library, belongs to us or our licensors. Documents you generate are yours to use for your own agreements without restriction. You may not copy the Service itself or redistribute the template library as a product of your own.

14. Confidentiality

We treat Customer Content as confidential. We access it only to provide and support the Service, to keep it secure, when you ask us to, or when the law requires it.

15. Disclaimers

To the extent the law allows, we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that any document generated, reviewed or signed through the Service is enforceable, complete or suitable for your purpose.

16. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from these Terms or the Service. Our total liability for all claims in any twelve-month period is limited to the amounts you paid us for the Service in that period. These limits do not apply to liability that cannot be limited by law.

17. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Content or from your use of the Service in breach of these Terms or the law.

18. Termination

You may stop using the Service and cancel renewal at any time. We may terminate or suspend your access for a material breach of these Terms that you do not cure within 10 days after notice, or immediately where the breach creates a security or legal risk. Sections that by their nature should survive termination, including sections 2, 8, 13 and 15 to 19, survive.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms, except that either party may seek injunctive relief in any competent court. If you are a consumer, nothing in these Terms takes away rights you have under the mandatory law of the country where you live.

20. Changes to these Terms

We may update these Terms. We will post the new version with a new date, and if a change materially affects your rights we will email account holders at least 30 days before it takes effect. If you keep using the Service after that, the new Terms apply. If you do not agree, cancel renewal before the change takes effect.
