In short
You generate or upload the NDA, add up to ten signers and send it. Every signer receives a personal link valid for 30 days. The page records the IP address, timestamps, user agent and a hash of the document, and when the last person signs, everyone gets the signed PDF by email.
What the signer sees
The counterparty receives an email from your workspace with the NDA title, your name and an optional message. The button opens a signing page built for one job: read the agreement and sign it. There is no sign-up screen, no password and no app to install, which matters because every extra step between the email and the signature is a chance for the NDA to sit unsigned for a week.
The full agreement text sits on the page, not a thumbnail of it. Below the text the signer types a name or draws a signature with a mouse, trackpad or finger, confirms intent to sign electronically and submits. The page then confirms the signature and, once everyone has signed, the completed PDF arrives in the inbox of every party.
- Open the personal link from the invitation email.
- Read the complete NDA in the browser, on desktop or phone.
- Type a name or draw a signature, then confirm consent to sign electronically.
- Submit, or decline with an optional reason if the terms do not work.
- Receive the signed PDF with its certificate page by email when all parties have signed.
Signing on a phone works the same way
Many NDAs are signed between meetings, so the signing page is responsive and the drawn signature pad accepts touch input. The agreement reflows to the screen width instead of forcing the signer to pinch and zoom a scanned page. A signer who starts on a phone and finishes on a laptop simply opens the same link again, because the link belongs to that person, not to a device.
The audit trail and certificate page
An electronic signature is only as useful as the record behind it. For every NDA, NonDisclosures logs who was invited, when each person opened the link, when each person signed or declined, the IP address and browser user agent for each action, and a cryptographic hash of the final document. That record is printed on a certificate page attached to the signed PDF, so the evidence travels with the agreement instead of living only in our system.
| Recorded item | Where it appears | Why it matters |
|---|---|---|
| Invitation time and recipient email | Timeline and certificate page | Shows the agreement went to the right person |
| Viewed time for each signer | Timeline and certificate page | Shows the signer opened the full text |
| Signed time, IP address, user agent | Certificate page | Ties the signature to a specific session |
| Typed name or drawn signature image | Signature block of the PDF | The mark the signer adopted |
| Document hash | Certificate page | Lets you show the text was not changed after signing |
| Declined time and reason | Timeline | Explains why a deal stalled |
Are electronically signed NDAs valid under ESIGN and UETA
In the United States, the federal ESIGN Act and the state laws based on the Uniform Electronic Transactions Act generally give an electronic signature the same legal effect as a handwritten one, as long as the parties intend to sign and agree to do business electronically. Nearly every state has adopted UETA, and the few that have not, such as New York and Illinois, have their own electronic signature statutes. A routine NDA between businesses, or between a company and a worker, is a typical example of an agreement these laws cover.
That said, enforceability of an NDA depends on its content and on state law, not only on the signature method. Our clause library is described on the NDA template page, and NonDisclosures is a software tool, not a law firm. For an agreement that carries real risk, have a licensed attorney review it.
Signing order, declines and voided NDAs
When you send an NDA, every signer is invited at the same moment and can sign in any order. While some have signed and others have not, the status shows partially signed and the per-signer timeline tells you who is outstanding. The agreement becomes signed when the last signer completes. Most NDAs have two signers, one for your company and one for the counterparty, but you can add up to ten, for example two founders on one side and a legal contact on the other.
A signer who disagrees with the terms can decline and leave a short reason, which reaches the NDA owner right away. If the deal changes before anyone signs, you can void the agreement. The links then show the signer that the document was voided instead of an error, and nobody can sign or decline it any more.
Reminders that get NDAs over the line
Unsigned NDAs are the main reason demos and data room access slip. NonDisclosures sends a polite nudge to each unsigned signer three days after the invitation and again four days later, two nudges at most, so you never have to chase by hand and the counterparty is not spammed. You can also resend a fresh link from the NDA page at any time, which is how you handle a link that has passed its 30-day window.
Once signed, the agreement lands in your register with its expiry date calculated from the term clause, and NDA tracking reminds you 60, 30 and 7 days before it ends.
What NDA signing includes on each plan
E-signature is part of every paid plan, with no per-envelope fees. The limit is the number of NDAs sent per month, counted when you send, and deleting an NDA never frees quota.
| Plan | Price billed yearly | NDAs sent per month | Team members |
|---|---|---|---|
| Starter | 24 USD per month | 25 | 2 |
| Business | 74 USD per month | 150 | 10 |
| Company | 249 USD per month | 750 | Unlimited |
Monthly billing is 49, 149 and 499 USD. Business adds bulk send to many recipients and CRM or ATS triggers that send the NDA automatically.
Questions and answers
Does the other party need an account to sign the NDA?
No. Each signer receives a personal link by email, reads the full agreement in the browser and signs with a typed or drawn signature. No sign-up or password is involved.
How long is a signing link valid?
Each personal link is valid for 30 days. If it expires before the person signs, you can resend a fresh link from the NDA page in one click.
Is an NDA signed online legally binding?
In the United States, the ESIGN Act and state laws based on UETA generally treat electronic signatures like handwritten ones for agreements such as NDAs. Whether a particular NDA is enforceable still depends on its terms and the governing state law.
What proof do I get that someone signed?
The signed PDF includes a certificate page with invitation, view and signing times, IP addresses, user agents and a document hash. The same events appear on the per-signer timeline in your account.
Can a signer decline instead of signing?
Yes. The signer can decline and add an optional reason. The NDA moves to declined and the owner is notified immediately, so you can adjust the terms and send a new version.
Can I sign an NDA I received from someone else?
You can upload a counterparty NDA as a PDF or DOCX to your register and run an AI NDA review on it. Agreements you send for signature are generated in NonDisclosures from the clause library.
Is NonDisclosures giving legal advice about my NDA?
No. NonDisclosures is a software tool, not a law firm. Templates, e-signature and AI analysis are not legal advice, so consult a licensed attorney for agreements that matter.
