In an NDA data room workflow, no bidder sees the virtual data room until it has signed a confidentiality agreement. NonDisclosures sends the bidder NDA to your whole buyer list, tracks every signature, and on the Company plan fires a webhook that unlocks the bidder's data room folder the moment the NDA is signed.

In short
Sell-side advisors and corporate development teams run the same sequence on every process: teaser, NDA, data room, management meetings, bids. The NDA step is where the process usually stalls, because dozens of bidders sign at different speeds, mark up the draft and need access the same day. A bulk send, a live register of who signed, an automatic unlock and an expiry date per bidder turn that step into a routine.
The NDA step in a sale process
A typical sell-side process sends an anonymous teaser to a long list of strategic and financial buyers. Interested parties receive the NDA, and only signed bidders get the confidential information memorandum and data room access. Later rounds open more folders to a shorter list. Every step depends on knowing exactly who has signed and on what terms.
Spreadsheets break here. One bidder signs a marked-up version, another signs the clean draft, a third forwards it to its lender who never signs, and two weeks later nobody is sure who agreed to the standstill. A register that records each signature against the bidder and the document version is the fix.
| Process stage | NDA task | How NonDisclosures handles it |
|---|---|---|
| Teaser goes out | Send NDA to the buyer list | Bulk send one template to many recipients |
| Bidders review | Answer markups and chase signatures | Status per bidder, nudges to unsigned signers |
| Bidder signs | Grant data room access | nda.signed webhook unlocks the folder |
| Second round | Confirm who is still bound | Register search by counterparty and status |
| Process ends | Return or destroy, standstill tail | Expiry date and reminders per bidder |
What the bidder NDA covers
The M&A NDA template is written for one seller disclosing to many prospective buyers. Its sections follow the order of a market-style bidder agreement: definitions, including the Transaction and the fact that discussions are taking place; exclusions; the bidder's obligations, with a reminder that securities laws restrict trading on material non-public information; permitted disclosures to representatives, including lenders and advisors, and routine regulatory examinations; return or destruction; and a transaction process clause that lets the seller run the auction as it sees fit and makes clear that bidders rely only on the definitive agreement.
Optional covenants matter most in M&A. A standstill stops the bidder from buying shares or launching an unsolicited offer for a period, with a fall-away if the target agrees a deal with someone else and room for private proposals to the board. A no-contact clause routes every question through designated contacts and keeps bidders away from employees, customers and suppliers. A non-solicit protects the team the buyer meets in management presentations. The investor NDA uses a similar structure for minority investments.
Bulk send to the bidder list
On the Business and Company plans you load the buyer list and send one NDA to every recipient in one action. Each bidder gets its own personal signing link, valid for 30 days, and its own copy of the agreement with its name filled in. Signers do not need an account and sign in the browser with a typed or drawn signature.
The status board shows each bidder as sent, viewed, partially signed, signed, declined, expired or voided, with a timeline per signer. Partially signed is common in M&A, where a bidder signs but the seller countersigns later. Unsigned bidders can be nudged from the same screen, which replaces the round of follow-up emails that usually eats the first week of a process.
Unlock the data room when the NDA is signed
The Company plan includes API access and webhooks. When the last party signs, NonDisclosures sends an nda.signed event to the URL you choose. Your integration or your data room's own automation uses it to open the folder for that bidder, so access follows the signature instead of an email to the deal team.
- Create a workspace for the deal and lock the bidder template so nobody changes the standstill or governing law by accident.
- Bulk send the NDA to the buyer list from the teaser stage.
- Point the nda.signed webhook at the service that grants data room permissions.
- A bidder signs, the webhook fires, its folder opens and the signed PDF with its certificate page is emailed to all parties.
- Search the register at any time to see who is bound, and export it to CSV for the process letter or the board.
The same event can write the signed PDF back to a CRM record. More on the full platform in NDA management software.
Markups, expiry and the end of the process
Larger bidders often send back their own form. Upload it and run an AI review: you get a summary, a risk score from 0 to 100 and flags such as a missing standstill, a residuals clause broad enough to swallow the agreement, a perpetual term without a trade secret carve-out, or an unusual jurisdiction, each with why it matters and a suggested fallback.
Bidder NDAs usually run 1 or 2 years. The term clause sets an end date for each agreement and reminders arrive 60, 30 and 7 days before it expires, which matters when a process pauses and restarts. When a bidder drops out, the register shows what it signed, including whether it agreed to return or destroy, or to destroy and certify.
Questions and answers
Why should data room access depend on a signed NDA?
Because the data room holds the most sensitive material in the deal. Granting access only after the NDA is fully signed keeps a clean record that every bidder who saw the information agreed to protect it.
How does a signed NDA unlock a data room folder?
On the Company plan, NonDisclosures sends an nda.signed webhook when the agreement is fully signed. Your data room automation or a small integration uses it to grant that bidder access to its folder.
Can I send one NDA to fifty bidders at once?
Yes. Bulk send on the Business and Company plans sends one template to many recipients, each with a personal signing link and its own copy of the agreement.
What is a standstill in an M&A NDA?
A standstill stops a bidder from buying the target's shares or making a hostile offer for a set period. Our template includes a fall-away if the target agrees another deal and allows private proposals to the board.
How do I know which bidders have signed?
The status board shows every bidder and signer, and the register is searchable by counterparty, status and expiry, with CSV export.
Can bidders sign without creating an account?
Yes. Each signer gets a link by email, valid for 30 days, and signs in the browser. The signed PDF includes an audit trail with timestamps, IP addresses and a document hash.
Is the M&A NDA template legal advice?
No. NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice, and deal counsel should approve the bidder NDA for each process.
