An NDA for sales is a confidentiality agreement your rep sends a prospect before you share pricing models, roadmaps, security documents or a demo on real data. NonDisclosures lets the rep generate it in seconds, or sends it automatically when the deal reaches a chosen CRM stage.

NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice.

In short

Most B2B deals need an NDA at the same moment: right before the technical evaluation, the security questionnaire or the custom pricing proposal. Put that moment on a deal stage, let the NDA go out with the right template and governing law, watch it move from sent to viewed to signed, and keep a searchable register so nobody asks legal whether a signed NDA already exists.

01

Where the NDA sits in a B2B sales cycle

Early calls rarely need an NDA. Discovery, a standard product tour and public pricing are fine without one. The agreement becomes necessary when the conversation turns specific: the prospect wants to see the product on a copy of its own data, your solutions engineer needs its architecture diagrams, or you are about to share a roadmap, a security report or margin-sensitive pricing. Asking for the NDA at that point feels natural to the buyer and protects you before the sensitive material moves.

The trouble is timing. When the rep has to email legal, wait for a Word file, fill in names by hand and chase a signature, the demo slips a week or happens without an NDA at all. Both outcomes cost you. The fix is to make the NDA a step of the pipeline, not a side errand.

Deal momentWhat gets sharedNDA to use
Technical evaluationProduct on prospect data, architecture, integrationsMutual, both sides share systems
Security reviewPen test summaries, policies, SOC style reportsOne-way from you, or mutual
Custom pricing proposalDiscount structure, volume pricing, marginsOne-way from you
Roadmap briefingUnreleased features and timelinesOne-way from you
Pilot or proof of conceptData, credentials, results in both directionsMutual with return or destroy

Not sure which shape fits? The mutual NDA treats both parties the same and is the easiest to get accepted, while a one-way NDA is shorter when only your side discloses.

02

Send the NDA automatically from a deal stage

On the Business and Company plans you connect HubSpot or Salesforce and choose the stage that triggers an NDA, for example "Technical evaluation". When a rep moves a deal into that stage, NonDisclosures picks the company and contact from the deal, fills the template your team approved and sends it for signature. The rep does not open another tool.

  1. Connect your CRM and pick the trigger stage and the default template.
  2. Lock the clauses your legal team cares about, such as governing law, term and the definition of confidential information, so reps cannot change them by accident.
  3. A deal enters the stage, the NDA is generated and the prospect receives a personal signing link by email.
  4. The prospect signs in the browser with a typed or drawn signature. No account is needed on their side.
  5. Status updates flow to Slack if you connect it, and the signed PDF lands in your NDA register.

The setup is described step by step on the HubSpot NDA integration page, and the same logic applies to Salesforce NDA automation.

03

Keeping reps fast without losing control

Sales wants speed and legal wants consistency. Team templates with locked clauses give both. Reps pick the counterparty and the purpose, and everything that matters legally stays fixed. If someone tries to change a protected clause, an approval rule routes the change to an admin before the NDA can go out.

When the prospect insists on its own paper, which large buyers often do, the rep uploads it and runs an AI review. The review returns a summary, a risk score from 0 to 100 and flags with a severity, such as a perpetual term, one-sided obligations in a document titled mutual, a missing compelled disclosure exception, or a non-compete or IP assignment hidden inside a confidentiality agreement. Each flag includes why it matters and a suggested fallback, so the rep knows what to send back to legal and what is routine.

  • Roles. Admins manage templates and rules, editors send NDAs, viewers can look up the register.
  • Flat team price. Plans are priced per team, not per seat, so adding a rep does not change the bill.
  • AI drafting. On Business and Company, a rep can describe the deal in plain English and the AI fills the template options, while the wording stays inside your approved clause library.
04

Tracking signatures so demos are not delayed

Every NDA has a visible status: draft, sent, viewed, partially signed, signed, declined, expired or voided, with a timeline per signer. If the prospect opened the link but did not sign, the rep can nudge from the same screen instead of writing another email. Declines show up immediately, which is useful when a procurement team rejects the template and you need to switch to their paper.

Once signed, the agreement gets an end date calculated from the term clause, and reminders arrive 60, 30 and 7 days before it expires. Long sales cycles and multi-year customers outlive NDAs more often than teams expect, and the reminder gives you time to renew before the next sensitive conversation.

05

Answering "do we already have an NDA with them?"

Reps, account managers and partner teams ask this question constantly. The register answers it in one search by counterparty, owner, type, status or expiry, and exports to CSV for pipeline reviews. Older agreements signed elsewhere can be uploaded as PDF or DOCX, and on paid plans AI extracts the parties, term, governing law, expiry and key terms so they sit in the same list as the new ones. The register is part of every plan.

Questions and answers

When should a sales rep ask a prospect to sign an NDA?

Ask right before you share anything you would not publish: a demo on the prospect's own data, architecture details, a security report, a roadmap or custom pricing. Earlier conversations usually do not need one.

Should a sales NDA be mutual or one-way?

Use a mutual NDA when the prospect will also share systems, data or internal plans, which is common in technical evaluations and pilots. Use a one-way NDA when only your side discloses, for example a roadmap briefing or a pricing proposal.

Can the NDA go out automatically from HubSpot or Salesforce?

Yes, on the Business and Company plans. You choose a deal stage, and when a deal enters it the NDA is generated from your approved template and sent for e-signature to the deal contact.

Does the prospect need to create an account to sign?

No. The signer receives a personal link by email, valid for 30 days, reads the full agreement in the browser and signs with a typed or drawn signature.

What if the prospect sends its own NDA instead?

Upload it and run an AI NDA review. You get a summary, a risk score and flagged clauses with suggested fallbacks, which helps the rep decide what needs legal attention.

Are electronically signed NDAs binding?

In the United States, the ESIGN Act and state laws based on UETA generally give electronic signatures the same effect as handwritten ones for agreements like NDAs. Each signed PDF includes an audit trail with timestamps, IP addresses and a document hash.

Is NonDisclosures giving legal advice on our sales NDAs?

No. NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice, so have a licensed attorney approve the template your team uses.
