Consulting NDA template and NDA for consultants and their clients
A consulting NDA is the confidentiality agreement a consulting firm and its client sign before the discovery call, the proposal or the first data request. NonDisclosures generates a two-way version that protects the client's data and your own methods and rate cards, sends it for e-signature and files every signed copy in one register.
NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice.

In short
Most consulting engagements need a mutual NDA, because the client shares financials, customer data and plans while the firm shares its methodology, pricing and staff. Sign it before the scoping call or the data request, add a non-solicit so the client cannot hire your consultants away, and track its expiry so prospects who never signed an SOW drop off your list on time.
Who sends a consulting NDA and when
Consulting firms sign more NDAs than almost any other small business. A 15 person strategy, IT or finance consultancy can easily put 80 to 150 NDAs through its inbox in a year: one for every prospect that wants to share numbers before a proposal, plus the client's own paper when the buyer is a large company. Most of those agreements are signed by a partner in a hurry and saved wherever the email landed. Six months later nobody can say which prospects are still covered.
The trigger is nearly always the same. The client wants to show you something real before it commits: a P&L, a customer churn file, a systems diagram, a draft acquisition plan. You want to show them something real too, such as your assessment framework, sample deliverables from past work and your rates. A consulting NDA lets both sides do that the same week instead of after the legal teams trade drafts. Firms that run a structured intake usually send the NDA right after the first qualifying call, before a partner spends time on the proposal.
| Moment in the engagement | What changes hands | NDA to use |
|---|---|---|
| Discovery call with a prospect | Client goals, rough numbers, your approach | Mutual consulting NDA |
| Proposal and pricing | Your rate card, staffing plan, sample deliverables | Mutual consulting NDA |
| Data request after the SOW | Financials, customer data, system access | Covered by the NDA plus the SOW confidentiality clause |
| Subcontracting part of the work | Client material passed to a specialist | Contractor NDA with the subcontractor |
| Client sends its own NDA | Their wording, often one-sided | AI review before you sign |
What a consulting NDA should protect on both sides
A generic template written for a buyer and a seller misses what is valuable in a consulting relationship. The firm's know-how is the product, and the client's information is often regulated or price sensitive. The generator builds the outline you see above, and these are the clauses that matter most for consultants.
- A purpose tied to the engagement. The agreement covers evaluating and performing the consulting engagement, so neither side can reuse the information for another project or another client.
- Your methodology as confidential information. Frameworks, diagnostic tools, benchmark data, templates and pricing models are covered when you share them, not only the client's material.
- Representatives who may see it. Your consultants, approved subcontractors and advisors on one side, the client's managers, board and auditors on the other, each bound by similar duties.
- Non-solicitation of your staff. The optional 12-month non-solicit stops the client from hiring the consultants it worked with, which is the most common complaint consulting firms raise after a project ends. General job ads do not count.
- Return or destruction. Client files are returned or deleted on request and at the end of the term, with written confirmation. Backups that cannot reasonably be erased stay confidential.
- Residuals off by default. A residuals clause would let the other side use whatever its people remember. Leave it off when your methods are what you sell.
- Term and survival. Two years covers most proposals and projects, with a confidentiality period after that. Trade secrets stay protected for as long as they qualify.
Does a consultant need an NDA if the SOW has a confidentiality clause?
Yes, for the part of the relationship before the SOW exists. The statement of work or master consulting agreement usually carries its own confidentiality section, and once it is signed it governs the project. Everything shared during discovery, scoping and pricing happens before that, and prospects who never hire you never sign the SOW at all. The NDA covers that gap, and the register shows exactly when it ends.
If you also hire freelancers or other firms to deliver part of the work, put a contractor NDA in place with each of them before you pass on client material. Your client agreement usually makes you responsible for them.
| Question | Consulting NDA | SOW or consulting agreement |
|---|---|---|
| Signed when | Before discovery or the proposal | When the engagement is awarded |
| Who signs | Every prospect you scope | Only clients who hire you |
| Fees, scope, deliverables | No | Yes |
| Ownership of deliverables | No | Yes, through the IP terms |
| Protects your rate card and methods during the pitch | Yes | Usually not, it is signed later |
What if the client insists on its own NDA?
Large clients usually do, and their paper is written for them. Upload the draft to the AI NDA review and you get a risk score, flagged clauses by severity and fallback wording in a couple of minutes. For consultants the flags that come up most are a one-way agreement that ignores your methods, a residuals clause, a non-compete hidden inside the NDA that would stop you from serving others in the same industry, and a perpetual term. The full list of terms worth pushing back on is in red flags in a counterparty NDA.
How to send consulting NDAs without slowing the pitch
- Generate the consulting NDA once with your firm's details, the term and your governing state, and save it as your standard version.
- Send it to the prospect contact for e-signature. They sign in the browser from a personal link without creating an account.
- Share the framework, sample deliverables and rate card only after the status shows signed.
- Find any NDA later by client name in the register and get reminders 60, 30 and 7 days before it expires, so you can renew it for live clients and let lapsed prospects go.
How much does NDA software cost for a consulting firm?
NonDisclosures is priced per team, not per consultant. Starter is 49 USD a month for 25 NDAs and 10 AI reviews, enough for a solo consultant or a small boutique. Business is 149 USD a month for 150 NDAs with custom templates, approvals, bulk send and CRM triggers from HubSpot or Salesforce, which fits a firm that sends an NDA at a fixed deal stage. Yearly billing halves both prices. Limits for each plan are on the pricing page, and firms that already run their pipeline in a CRM can see how the trigger works in send NDAs from HubSpot automatically.
The time saved is the real cost comparison. A partner who drafts or redlines each NDA by hand easily spends half an hour on it. At 100 prospects a year that is a full working week of senior time spent on a two-page agreement.
Questions and answers
Should a consulting NDA be mutual or one-way?
Mutual is the right default for consulting. The client shares business data and the firm shares its methods, pricing and staff, so both sides need protection. Use a one-way NDA only when the consultant receives information and shares nothing confidential back.
Do consultants need to sign an NDA?
Usually yes. Most clients will not share financials, customer data or system access with an outside consultant until an NDA is signed. Signing your own mutual version first also protects your frameworks and rate card during the proposal.
What should be included in a consulting NDA?
A clear definition of confidential information on both sides, a purpose tied to the engagement, the people each side may share with, return or destruction at the end, a term with a survival period, and optionally a non-solicit that protects your consultants from being hired away.
Can a client stop me from working with competitors through an NDA?
An NDA should only restrict how you use the client's information, not who you work for. If a client draft says you may not serve competitors, that is a non-compete placed inside an NDA. Ask to remove it or move it to the consulting agreement with a narrow scope and an end date.
How long should a consulting NDA last?
Two years with a further confidentiality period after that fits most proposals and projects. Choose a longer term for multi-year transformation programs or when the client shares product plans. Trade secrets stay protected for as long as they remain secret.
Is this consulting NDA template legal advice?
No. NonDisclosures is a software tool, not a law firm. Regulated work such as healthcare, financial services or government contracting can need extra terms, so have a licensed attorney review agreements that matter.
