A mutual NDA is a contract in which both parties share confidential information and both promise to protect it. Use it when you and the other company will each show the other something sensitive, such as a partnership, an integration or a joint bid.

NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice.

In short

Our mutual NDA template makes each party both a Disclosing Party and a Receiving Party, covers written, oral and visual disclosures, keeps the existence of the talks confidential, runs for a term you choose, protects trade secrets for as long as they stay secret, and can be sent for e-signature as soon as you fill in both parties.

01

When a mutual NDA is the right choice

Send a mutual NDA when information will flow both ways. Two software companies scoping an integration, a manufacturer and a distributor sharing pricing and forecasts, two agencies preparing a joint pitch, or a startup and a corporate exploring a pilot all exchange material that each side wants protected. A two-way agreement treats both parties the same, which makes it quick to accept because neither side is asked to carry obligations the other avoids.

If only you will disclose, a one-way NDA is shorter and puts the obligations on the recipient alone. Counterparties often ask to make a one-way draft mutual, though, and agreeing early saves a round of redlines. For a deeper comparison, read mutual NDA vs one-way NDA.

What the template contains, clause by clause

The generator assembles the agreement from a fixed clause library, so every mutual NDA your team sends has the same structure. These are the sections in the order they appear in the document.

  • Definitions. Each party is the Disclosing Party when it shares and the Receiving Party when it receives. Confidential Information covers anything marked confidential or that a reasonable person would understand to be confidential, including oral and visual disclosures, plus notes and analyses derived from it. The fact that talks are happening is also confidential. You choose a broad, standard or narrow definition.
  • Exclusions. Public information, information already known, independently developed or received from a third party without a duty of confidence is excluded, and the receiving side carries the burden of showing an exclusion applies.
  • Obligations of each Receiving Party. Use only for the stated Purpose, no disclosure except as permitted, at least reasonable care, no reverse engineering of prototypes or software, and prompt notice of any unauthorized use.
  • Permitted and compelled disclosures. Sharing with Representatives who need to know and are bound by similar duties, disclosure required by law or court order with prior notice where legally allowed, and disclosure with written consent.
  • Return or destruction. On request, return or destroy the information, or destroy and certify, with a carve-out for automatic backups and legal retention that stay confidential.
  • No license and no warranty. Ownership stays with the discloser and information is provided as is.
  • No obligation to proceed. Neither party must sign a further deal, and both may keep doing independent work.
  • Optional covenants. A 12-month non-solicitation of employees met through the talks, a residuals clause for general know-how kept in unaided memory, and a no-contact clause. Each can be switched on or off.
  • Term and survival. A term of 1, 2, 3 or 5 years, a separate confidentiality period after the term, and protection for trade secrets for as long as they qualify as trade secrets.
  • Remedies, governing law and general provisions. Equitable relief, your chosen US state law and courts, and standard boilerplate including electronic signatures and counterparts.

Choices you make before sending

Most of the negotiation in a mutual NDA happens around four settings, and the builder exposes each of them as a plain choice instead of buried wording.

SettingOptions in the builderTypical choice
Term1, 2, 3 or 5 years2 years for most commercial talks
Confidentiality after the termSeparate survival period in years2 to 3 years, trade secrets indefinitely
Definition of confidential informationBroad, standard or narrowStandard, with marking or reasonable person test
Governing lawAny US state, Delaware by defaultYour home state or Delaware
After the deal endsReturn or destroy, or destroy and certifyReturn or destroy

As a rule of thumb, match the term to how long the talks will run and the confidentiality period to how long the information stays commercially sensitive.

From draft to signed in one place

Sending and signing is part of every paid plan. See how signing an NDA online works for the counterparty.

  1. Enter your company and the counterparty, pick the purpose, term and governing law, and the full agreement renders instantly.
  2. Send it for e-signature. The counterparty signs in the browser with a typed or drawn signature, no account needed.
  3. Watch the status move from sent to viewed to signed, and nudge anyone who has not signed.
  4. The signed PDF carries a certificate page with timestamps, IP addresses and a document hash, and lands in your NDA register with its expiry date.
  5. Reminders arrive 60, 30 and 7 days before the agreement expires, so you can renew before the next meeting.
05

Reviewing a mutual NDA someone else sent

When the other side insists on its own paper, upload it and run an AI NDA review. It flags the clauses that usually matter in a mutual agreement: obligations that bind only one side despite the mutual title, a perpetual term without a trade secret carve-out, a missing compelled disclosure exception, a non-compete or IP assignment hidden in an NDA, and an unusual jurisdiction. Each flag comes with a plain-language explanation and a suggested fallback position.

Questions and answers

What is a mutual NDA?

A mutual NDA, also called a bilateral or two-way NDA, is a confidentiality agreement in which both parties disclose confidential information and both agree to protect what they receive. The obligations are the same for each side.

When should I use a mutual NDA instead of a one-way NDA?

Use a mutual NDA whenever both sides will share something sensitive, such as partnerships, integrations, joint bids or pilot projects. If only one party discloses, a one-way NDA is simpler.

How long does a mutual NDA last?

Our template lets you choose a term of 1, 2, 3 or 5 years plus a separate confidentiality period after the term. Trade secrets stay protected for as long as they remain trade secrets under applicable law.

Is a mutual NDA signed electronically legally binding?

In the United States, the ESIGN Act and state laws based on UETA generally give electronic signatures the same effect as handwritten ones for agreements like NDAs. Each signed document includes an audit trail with timestamps, IP addresses and a document hash.

Can I add a non-solicitation clause to a mutual NDA?

Yes. The builder offers an optional 12-month non-solicitation of employees met through the discussions. It excludes general job ads and does not restrict anyone from competing.

Does the counterparty need an account to sign?

No. The counterparty receives a personal signing link by email, reads the full agreement in the browser and signs with a typed or drawn signature.

Is this mutual NDA template legal advice?

No. NonDisclosures is a software tool, not a law firm. The template is general information, and laws differ by state, so have a licensed attorney review any agreement you rely on for an important deal.
