A unilateral NDA agreement, also called a one-way NDA, is a contract in which only one party shares confidential information and only the recipient promises to protect it. Use it when you show a vendor, prospect or partner something sensitive and receive nothing confidential back.

In short

Our one-way NDA template names a Disclosing Party and a Receiving Party, limits use of the information to the stated purpose, covers written, oral and visual disclosures and the fact that talks are happening, requires at least reasonable care, and protects trade secrets for as long as they qualify. The obligations sit on the recipient only.

When a one-way NDA fits better than a mutual one

A unilateral agreement is the right tool when the flow of sensitive material is clearly one-directional. Because only one side carries obligations, the document is shorter and easier to read, and the disclosing party keeps a clean position: its own duties are limited to what the agreement says about process, such as notices and the end of talks.

If both sides will share pricing, roadmaps or customer data, a mutual NDA is fairer and usually faster to sign. Counterparties often ask to turn a one-way draft into a mutual one, and agreeing early saves a round of redlines. The trade-offs are covered in detail in mutual NDA vs one-way NDA.

What the one-way template contains, clause by clause

The outline above is the real document the generator produces. These are its sections in order, described in plain language.

  • Definitions. Confidential Information is anything the Disclosing Party shares for the Purpose that is marked confidential or that a reasonable person would understand to be confidential, oral and visual disclosures included. The existence and status of the discussions are confidential too. The Purpose defaults to evaluating a possible business relationship, and Representatives covers affiliates, staff and professional advisors.
  • Exclusions. Public information, information the recipient already knew as shown by its records, independent development without using the information, and lawful receipt from a third party are excluded. The recipient carries the burden of proving an exclusion.
  • Obligations of the Receiving Party. Use only for the Purpose and never to compete or solicit customers, no disclosure beyond what the agreement allows, at least the care used for its own similar information and never less than reasonable care, no reverse engineering of software, prototypes or samples, and prompt notice plus cooperation after any unauthorized use.
  • Permitted and compelled disclosures. Representatives with a need to know who are bound by similar duties, with the recipient answerable for their breaches, a procedure for subpoenas and court orders that gives prior notice where the law allows, and disclosure with written consent.
  • Return or destruction. On request, return or destroy, or destroy and certify. Automatic backups and copies kept for legal retention stay confidential for as long as they exist.
  • No license and no warranty. Ownership stays with the discloser and information is provided as is.
  • No obligation to proceed. Nobody has to share anything specific or sign a further deal, and both sides may keep building similar products as long as they do not misuse the information.
  • Optional covenants. A 12-month non-solicitation of employees met through the talks that ignores general job ads, plus standstill and no-contact clauses for situations close to an acquisition.
  • Term and survival. A term of 1, 2, 3 or 5 years with a right to end early by notice, a separate confidentiality period after the term, and trade secret protection for as long as the information qualifies.
  • Remedies, governing law and general provisions. Injunctive relief without proving money damages first, your chosen US state law and courts, and standard terms including counterparts, electronic signatures and export compliance.

Settings worth thinking about

A one-way NDA is where the disclosing party has the most leverage, but overreaching usually backfires. A recipient that receives a perpetual, broad and one-sided draft tends to send it to its lawyers, which costs you days. The builder keeps the choices visible so you can be firm on what matters and reasonable on the rest.

SettingOptionsPractical guidance
Term1, 2, 3 or 5 years1 to 2 years for a vendor or sales evaluation
Confidentiality after the termSeparate period in years2 to 3 years, trade secrets indefinitely
DefinitionBroad, standard or narrowBroad if you share technical material, standard otherwise
Governing lawAny US state, Delaware by defaultYour home state keeps disputes local
End of talksReturn or destroy, or destroy and certifyAsk for certification when source code or pricing is involved

Send, sign and keep track

When the other side sends its own paper instead, run an AI NDA review to see whether a supposedly one-way draft quietly binds you too, hides a non-compete, or drops the compelled disclosure exception.

  1. Enter your company as the Disclosing Party and the counterparty as the Receiving Party, set the purpose and options, and the full agreement renders instantly.
  2. Send it for e-signature. The recipient signs in the browser with a typed or drawn signature through a personal link, without creating an account.
  3. Follow the status from sent to viewed to signed, with a per-signer timeline and nudges for anyone who stalls.
  4. The signed PDF with its certificate page is emailed to both parties and filed in your NDA register, with reminders before it expires.

Questions and answers

What is a unilateral NDA agreement?

It is a non-disclosure agreement in which one party discloses confidential information and the other party agrees to keep it confidential and use it only for an agreed purpose. Only the recipient takes on confidentiality obligations.

Is a one-way NDA the same as a unilateral NDA?

Yes. One-way NDA, unilateral NDA and unilateral confidentiality agreement are different names for the same structure.

When should I use a mutual NDA instead?

Switch to a mutual NDA when the other side will also share something sensitive. Using a one-way form in a two-way exchange leaves the information you receive unprotected for the other party.

Can the recipient share my information with its lawyers or employees?

Only with Representatives who need to know it for the purpose and who are bound by similar confidentiality duties. The recipient is responsible if any of them breaches the agreement.

How long does a one-way NDA protect my information?

You choose a term of 1, 2, 3 or 5 years plus a separate confidentiality period after it ends. Trade secrets remain protected for as long as they qualify as trade secrets under applicable law.

Can I sign a unilateral NDA electronically?

Yes. The ESIGN Act and state laws based on UETA generally treat electronic signatures like handwritten ones for agreements of this kind. Every signed NDA includes an audit trail with timestamps, IP addresses and a document hash.

Is this one-way NDA template legal advice?

No. NonDisclosures is a software tool, not a law firm. The template is general information and laws differ by state, so have a licensed attorney review agreements that matter.
