Vendor NDA agreement and supplier NDA for procurement teams
A vendor NDA agreement is the confidentiality contract a company signs with a supplier or service provider before sharing specifications, volumes, pricing targets or system access. NonDisclosures generates it, sends it to every vendor on your list for e-signature and keeps each signed copy in one register with expiry dates.

In short
Use a mutual vendor NDA when both sides share something sensitive, such as your requirements and their pricing or security reports, and a one-way NDA when only you disclose. Get it signed before the RFP packet, the security questionnaire or system credentials go out, and record its term so you know which suppliers are still covered when the contract renews.
When procurement needs a vendor NDA
Most leaks in a sourcing process happen before any contract exists. A buyer emails a spec sheet to six suppliers, a project manager shares a forecast spreadsheet with a logistics provider, or IT gives a consultant a test login to scope a migration. None of those people has signed anything yet. A supplier NDA closes that gap by putting confidentiality in place at the first exchange, not at the master services agreement weeks later.
The other common trigger runs the opposite way. Software and services vendors often share their own SOC 2 report, penetration test summary or customer pricing only after the buyer signs an NDA. A two-way agreement covers both directions at once, so neither side waits on the other legal team. For the general structure of a two-way agreement, see our mutual NDA template.
| Situation | Which NDA | Why |
|---|---|---|
| RFP or RFQ to several suppliers | Mutual vendor NDA | You share specs and volumes, bidders share pricing and capacity |
| Security review of a SaaS vendor | Mutual vendor NDA | Their SOC 2 report and your architecture are both sensitive |
| Contract manufacturer quoting a new product | One-way NDA | Only your drawings and prototype are confidential |
| Consultant or agency doing the work | Contractor NDA | Covers their staff and subcontractors during the engagement |
| Vendor with an existing MSA | Check the MSA first | Many MSAs already contain a confidentiality clause |
What a supplier NDA should cover
The outline above is the agreement the generator builds. For vendor relationships, a few clauses deserve more attention than in a typical partnership NDA.
- A purpose tied to the sourcing event. Name the evaluation, for example "evaluating a supply agreement for packaging materials", so the vendor cannot use your forecast to price other customers.
- Representatives the vendor may share with. Their engineers, finance team and advisors usually need the spec. Subcontractors and resellers should only see it with your approval.
- The existence of the process. Bidders often should not know who else is quoting. The confidentiality of the discussions themselves is part of the agreement.
- No contact with your other suppliers or staff. The optional no-contact clause stops a bidder from approaching your people outside the agreed contacts during the process.
- Return or destruction at the end. Losing bidders should delete your drawings and data. The clause requires it on request and confirmation in writing.
- A term that matches the buying cycle. One or two years suits most RFPs. Pick three or five years when the information is a product roadmap or a manufacturing process, and trade secrets stay protected for as long as they qualify.
- Governing law in your state. Choose the state where your company is based so disputes land in a court you know.
How to send NDAs to every vendor on a bid list
- Generate the vendor NDA once with your company details, the purpose, the term and the governing state.
- Send it to each supplier contact for e-signature. Vendors sign in the browser from a personal link, no account needed. On the Business plan, bulk send covers a whole bid list in one go.
- Release the RFP packet, the data room folder or system credentials only to vendors whose status shows signed.
- Find any signed copy later in the NDA register by vendor name, and get reminders 60, 30 and 7 days before it expires.
Vendor NDA versus the confidentiality clause in your MSA
Once a supplier wins, the master services agreement or supply agreement usually carries its own confidentiality section, and it normally supersedes the earlier NDA for the work it covers. The NDA still matters for everything shared before signature, and for the bidders who lost, since they never sign the MSA at all. Keep both records: the NDA proves what protected your information during the bid, and the register shows when that protection ends.
When a large vendor insists on its own paper instead of yours, an AI NDA review scores the draft and flags one-sided terms, such as a residuals clause that lets their staff reuse what they remember, or a confidentiality period shorter than your buying cycle. The clauses worth pushing back on are listed in red flags in a counterparty NDA.
| Question | Vendor NDA | MSA confidentiality clause |
|---|---|---|
| Signed when | Before the RFP or first data exchange | At contract award |
| Who signs | Every bidder or prospective vendor | Only the selected vendor |
| Covers pricing and scope | No | Yes |
| Protects information shared during the bid | Yes | Only if it says so expressly |
| Needs an expiry date tracked | Yes | Usually tied to the contract term |
Who uses vendor NDAs in NonDisclosures
Procurement and sourcing managers at manufacturers send them before a quote round. IT and security teams send them before a vendor security review. Operations leads at growing companies send them to logistics, payroll and outsourcing providers. What these buyers have in common is volume: dozens of supplier NDAs a year, signed by different people, with nobody sure which ones are still in force. The NDA management software side of the product keeps that list in one place, searchable by vendor, owner, status and expiry date.
Plans start at 49 USD a month for 25 NDAs, with Business adding bulk send, custom templates with locked clauses and approvals. Details are on the pricing page.
Questions and answers
What is a vendor NDA?
A vendor NDA is a non-disclosure agreement between a company and a supplier or service provider. It protects the specifications, pricing, data and plans either side shares while they evaluate working together, and it usually comes before the supply agreement or MSA.
Should a vendor NDA be mutual or one-way?
Mutual is the safer default in a sourcing process, because bidders share pricing, capacity and often security reports in return. Choose one-way only when the vendor receives your information and gives nothing confidential back, such as a manufacturer quoting from your drawings.
Do I need an NDA if the vendor contract has a confidentiality clause?
The contract clause covers the selected vendor once it is signed. An NDA covers everything shared before signature and every bidder who loses, so most procurement teams use both and keep the NDA on file.
How long should a supplier NDA last?
One to two years fits most RFPs and vendor reviews. Use three to five years for product roadmaps, manufacturing processes or long development projects. Trade secrets stay protected for as long as they remain secret, regardless of the term.
Can I send one NDA to many vendors at once?
Yes. On the Business plan, bulk send delivers the same NDA to a list of supplier contacts, each with a personal signing link, and the register shows who has signed and who has not.
Is this vendor NDA agreement legal advice?
No. NonDisclosures is a software tool, not a law firm. Regulated purchases, government contracts and export-controlled data can need extra terms, so have a licensed attorney review agreements that matter.
