A real estate NDA agreement is a confidentiality contract a prospective buyer, investor or lender signs before the owner or broker shares non-public property information, such as an off-market listing, rent rolls, leases, operating statements or tenant data. It limits use of that information to evaluating the deal.
NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice.
In short
In commercial real estate the NDA usually sits between the teaser and the offering memorandum. A broker markets the property with a short summary, interested buyers sign the confidentiality agreement, and only then receive the full package and access to the deal documents. The NDA keeps the sale quiet, protects tenant and financial data, and stops buyers from going around the broker or the owner to approach tenants and staff.
When property deals need an NDA
Residential sales listed on the open market rarely need one. The NDA becomes standard when information is valuable or sensitive: an off-market sale the owner does not want tenants or competitors to hear about, a multifamily or office building whose rent roll reveals every tenant's rent, a portfolio sale, a development site with a pending rezoning, or a business sold together with its real estate. Lenders, joint venture partners and equity investors reviewing the same package also sign.
| Deal | What is shared | Who signs |
|---|---|---|
| Off-market commercial sale | Address, price guidance, offering memorandum | Each prospective buyer |
| Multifamily or retail sale | Rent roll, leases, tenant ledgers | Buyers and their lenders |
| Portfolio or sale-leaseback | Financial statements, lease abstracts | Buyers and advisors |
| Development site | Zoning plans, surveys, environmental reports | Developers and JV partners |
| Equity raise for a property | Pro forma, business plan, sponsor data | Investors who agree to sign |
Most of these are one-directional, so the unilateral NDA agreement shown in the outline above is the usual starting point. Joint ventures where both sides contribute sites or capital plans may fit a mutual NDA better.
Clauses that matter in a property NDA
- Definition. Covers written, oral and visual information, including what a buyer learns on a site tour, and the notes and analyses it prepares. The fact that the property is for sale and that talks are happening is confidential too, which is what keeps an off-market deal off the market.
- Use only for the purpose. The buyer may use the information only to evaluate the purchase, not to compete for the same tenants or to approach a neighboring owner with the numbers.
- Representatives. Buyers can share with lenders, attorneys, accountants and partners who need to know and are bound by similar duties. The buyer is responsible for them.
- No-contact. All communication goes through designated contacts. The buyer may not contact the owner's employees, customers, suppliers, landlord or lender about the deal, with an exception for ordinary course contacts unrelated to it.
- Return or destruction. When the buyer drops out, it returns or destroys the package, or destroys and certifies, with a carve-out for automatic backups that stay confidential.
- No obligation to proceed. Signing does not commit anyone to sell or buy, and the owner can run the process as it chooses.
- Standstill (optional). Available on the one-way template when the property sits inside a company and the deal could turn into an approach for the company itself.
Tenants, brokers and the no-contact clause
The biggest practical risk in a property sale is a buyer calling tenants directly, to check rents or to start negotiating, before the owner is ready. Tenants learn the building is for sale, ask about lease renewals, and sometimes leave. The no-contact clause routes questions through designated contacts. Because the clause names employees, customers, suppliers, landlords and lenders, add a short line in the free-text additional terms that names tenants and property managers expressly, so there is no argument about whether a tenant counts as a customer.
Brokers are usually treated as representatives: the listing broker discloses on behalf of the owner, and the buyer's broker receives on behalf of the buyer and must be bound by similar duties. Some brokers also want a confirmation that the buyer will not go around them to the owner. The NDA is about confidentiality, so put commission and registration terms in the brokerage or registration agreement, or in additional terms if you must, rather than relying on the confidentiality clauses for them.
Sending NDAs to a buyer list
A marketed sale can generate dozens of interested buyers in the first week. On the Business and Company plans you bulk send one NDA to the whole list, each buyer gets a personal signing link and signs in the browser with a typed or drawn signature, and the status board shows who has viewed, signed or declined.
- Fill in the owner or broker as discloser, set the purpose as evaluating the purchase of the named property, and pick the term and the governing law of the state where the property sits.
- Switch on no-contact and add the tenant line in additional terms.
- Send to one buyer, or bulk send to the list on Business and Company.
- Release the offering memorandum and deal documents only to buyers whose status is signed. On the Company plan, the nda.signed webhook can open a buyer's folder automatically, as described for the NDA data room workflow.
- Search the register by buyer to see who is bound, and export it to CSV for the owner.
When the buyer sends its own form
Institutional buyers often reply with their own NDA. Upload it and run an AI review before you agree. In real estate the flags that come up most are a missing no-contact clause, a definition narrow enough to exclude oral information from site tours, a residuals clause that lets the buyer keep using rent data, a one-sided term that ends before the deal could close, and no return or destroy obligation. Each flag includes why it matters and a suggested fallback. Expiry reminders 60, 30 and 7 days before the end date help when a sale stalls and comes back to market months later.
Questions and answers
What is a real estate NDA agreement?
It is a confidentiality agreement a prospective buyer, lender or investor signs before receiving non-public property information, such as an off-market listing, rent roll, leases or financial statements.
Do buyers sign an NDA before receiving an offering memorandum?
In commercial real estate, usually yes. The teaser is public or semi-public, and the full offering memorandum and deal documents go only to buyers who have signed.
Can an NDA stop a buyer from contacting tenants?
A no-contact clause routes communications through designated contacts. Name tenants and property managers expressly in the additional terms so the restriction is clear.
Is the broker a party to the NDA?
Often not. Brokers usually act as representatives of the owner or the buyer and must be bound by similar duties. Commission and registration terms belong in the brokerage agreement.
Which state law should a property NDA use?
Many owners choose the law of the state where the property is located. The template lets you choose any US state, with Delaware as the default.
Can buyers sign on a phone?
Yes. The signer opens a personal link from email, valid for 30 days, and signs in the browser with a typed or drawn signature. No account is needed.
Is this real estate NDA legal advice?
No. NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice, and real estate practice differs by state, so have a licensed attorney review the agreement for a significant transaction.
